Terms of Service

Please read these Terms of Service ("Terms") carefully before using Keystone Ops. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing the Keystone Ops platform, or using any of its features, you agree to these Terms of Service and our Privacy Policy on behalf of yourself and, if applicable, the organization you represent. These Terms constitute a binding legal agreement between you ("Customer," "you," or "your") and Keystone Ops, Inc. ("Keystone Ops," "we," "us," or "our"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not accept these Terms or use the Service.
2. Description of Service
Keystone Ops is a roofing operations and customer relationship management (CRM) platform designed for roofing contractors and related trades. The Service includes lead management, job tracking, client communications, SMS automation, AI-assisted workflows, storm intelligence, insurance claim assistance, revenue forecasting, and related features (collectively, the "Service"). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, provided that we will make commercially reasonable efforts to notify subscribers of material changes.
3. Account Registration
To use Keystone Ops, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@keystoneops.com if you suspect unauthorized access to your account. Keystone Ops is not liable for any loss or damage arising from your failure to maintain the security of your account credentials. You may not create accounts on behalf of others without their express authorization, and accounts are non-transferable except through processes we explicitly support.
4. Subscription and Billing
Keystone Ops offers monthly and annual subscription plans. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis at the then-current subscription price. Monthly subscriptions renew automatically each calendar month. Annual subscriptions renew automatically each year. All payments are processed by Stripe, Inc. on our behalf; by subscribing, you agree to Stripe's terms of service and authorize Stripe to store and charge your payment method. We do not store your full card number. Subscription fees are non-refundable, including for partial months or years. We may change our pricing with 30 days' notice; continued use after the effective date constitutes acceptance of the new pricing. All fees are exclusive of applicable taxes, which are your responsibility.
5. Free Trial
We offer a 14-day free trial of the Service. No credit card is required to begin your trial. At the end of the trial period, the Service will automatically continue only if you have added a valid payment method and selected a plan; otherwise, your account will be downgraded to a limited free tier or suspended, and automated features will stop running. Trial users have access to the full feature set of the plan they selected during signup. We reserve the right to change the trial length or terms at any time for new signups.
6. Acceptable Use
You agree to use Keystone Ops only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to: (a) use the Service to send unsolicited commercial messages (spam) or to contact individuals who have not consented to receive communications from you; (b) engage in any activity that is illegal under applicable federal, state, or local laws; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform; (d) share account credentials across multiple organizations or use a single account to manage the operations of businesses that are separate legal entities without a separate subscription for each; (e) use the Service to collect data about competitors or for competitive intelligence purposes beyond your own business operations; (f) introduce malware, viruses, or other harmful code; or (g) attempt to gain unauthorized access to any portion of the Service or its related infrastructure. Violation of these restrictions may result in immediate termination of your account without refund.
7. Data and Privacy
In the course of using Keystone Ops, we collect and process business operational data including but not limited to leads, jobs, client records, communications, and financial estimates. We also collect account information and usage data as described in our Privacy Policy at keystoneops.com/privacy. Our Privacy Policy is incorporated into these Terms by reference. You retain ownership of all data you input into the Service ("Customer Data"). You grant Keystone Ops a limited, non-exclusive license to access and process Customer Data solely to provide and improve the Service. We will not sell your personal data to third parties.
8. SMS and Communications
Keystone Ops includes features that enable you to send SMS messages to your clients and leads on your behalf. By using these SMS features, you represent and warrant that: (a) you have obtained all legally required consents from recipients prior to sending any SMS message, including as required by the Telephone Consumer Protection Act (TCPA) and all applicable state laws; (b) you will maintain records of such consents; (c) you will honor opt-out requests promptly; and (d) you are solely responsible for the content of all messages sent through the platform and for your compliance with TCPA, state telemarketing laws, and carrier guidelines. Keystone Ops provides the messaging infrastructure and is not liable for your compliance failures or for any fines, claims, or damages arising from your use of the SMS features.
9. AI Features
The Service includes artificial intelligence features powered by third-party AI providers, including but not limited to Anthropic and OpenAI. AI-generated outputs — including lead scores, job summaries, claim estimates, reply suggestions, and revenue forecasts — are provided for informational purposes only. Keystone Ops makes no representations or warranties that AI outputs are accurate, complete, or fit for any particular purpose. You are solely responsible for reviewing, verifying, and acting on any AI-generated content before relying on it for business decisions, legal matters, or customer communications. AI features may not be available at all times and are subject to the usage limits of your subscription plan.
10. Intellectual Property
Keystone Ops and its licensors own all right, title, and interest in and to the Service, including all software, designs, trademarks, trade names, logos, and proprietary technology (collectively, "Keystone Ops IP"). These Terms do not grant you any ownership interest in or to the Keystone Ops IP. You own all Customer Data you submit to the Service. Any feedback, suggestions, or improvement ideas you provide regarding the Service may be used by Keystone Ops without restriction and without any obligation to compensate you.
11. Data Portability
You may export your Customer Data at any time during your subscription via the CSV export functionality available within the platform (e.g., Leads → Export, Jobs → Export). We strongly recommend exporting your data before canceling your subscription. Following account cancellation, your data is retained for 90 days, during which you may contact support@keystoneops.com to request a data export. After the 90-day retention period, your data will be permanently deleted from our systems.
12. Termination
You may cancel your subscription at any time through the Billing section of your account settings or by contacting support@keystoneops.com. Cancellation takes effect at the end of the current billing period; you will retain access to the Service through that date. Keystone Ops may suspend or terminate your account immediately, without notice or refund, if you: (a) materially breach these Terms and fail to cure the breach within 10 days of notice; (b) engage in fraudulent or illegal activity; (c) fail to pay amounts due; or (d) use the Service in a way that causes harm to Keystone Ops, other users, or third parties. Upon termination, your right to use the Service ceases and provisions of these Terms that by their nature should survive (including limitations of liability, intellectual property, and governing law) will remain in effect.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYSTONE OPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF KEYSTONE OPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL KEYSTONE OPS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KEYSTONE OPS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
14. Governing Law
These Terms and any disputes arising out of or related to the Service will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Florida for the resolution of any disputes. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15. Changes to Terms
We may update these Terms from time to time to reflect changes in the law, our business, or our Service. For material changes, we will provide at least 30 days' advance notice by email to the address associated with your account and by posting a notice within the platform. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.
